(1) These Terms & Conditions apply to everyone who takes part in the Swiss Cyber Institute Affiliate Program (the "Program").
(2) "SCI", "we", "us" and "our" mean Swiss Cyber Institute GmbH, Talacker 50, 8001 Zurich, Switzerland (UID CHE-287.514.070).
(3) "Affiliate", "you" and "your" mean the individual or organization that applies to join, or takes part in, the Program.
(4) By accepting these Terms & Conditions when you sign up, you enter into a binding agreement with us on these terms (the "Agreement").
- "Affiliate Dashboard" means the area of our campus where you can see your Affiliate Link, referrals, commissions and payouts.
- "Affiliate Link" means the personal tracking link that contains your affiliate ID.
- "Business Day" means Monday to Friday, excluding public holidays in the Canton of Zurich.
- "Eligible Product" means any paid program, training or course on campus.swisscyberinstitute.com that we have included in the Program and that is shown in your Affiliate Dashboard. Free courses are not Eligible Products.
- "Net Sales Revenue" means the amount we actually receive from a customer for an Eligible Product, excluding VAT and other taxes, and after any discounts, refunds and chargebacks.
- "Qualified Referral" means a purchase of an Eligible Product that a customer makes within the Tracking Period after clicking your Affiliate Link, and that our system attributes to you.
- "Tracking Period" means 30 days from the customer's most recent click on your Affiliate Link.
2.1 You apply to join the Program through our campus. You must give us accurate and complete information and keep it up to date, including your contact, payment and tax details.
2.2 We review every application and may accept or reject it at our discretion, without giving reasons. The Agreement starts on the date we approve your application.
2.3 You must be at least 18 years old and legally able to enter into contracts.
2.4 You can't earn commission on purchases you make for yourself, or on purchases made with your own payment details.
3.1 You take part in the Program as an independent party. Nothing in this Agreement creates a partnership, joint venture, employment or agency relationship between you and us.
3.2 You may not make any commitment, statement, offer or warranty on our behalf.
3.3 The Agreement is non-exclusive. Both you and we are free to work with other partners.
4.1 You must promote us honestly and accurately, and describe our programs, trainings and courses in line with the information on our websites. You must not promise outcomes we don't promise ourselves, such as jobs, salaries, exam results or official recognitions.
4.2 You must clearly tell your audience that you earn a commission when they buy through your Affiliate Link (for example, by labeling it as an affiliate link).
4.3 You must not:
- send unsolicited mass emails, messages or other advertising without the recipient's consent, or post your Affiliate Link in forums, groups or comment sections where this is not allowed;
- bid on "Swiss Cyber Institute", "SCI", "Global Cyber Conference" or similar terms, or misspellings of them, in paid search or social ads without our prior written approval;
- present yourself as SCI, or create websites, domains, profiles or ads that could be mistaken for ours;
- use cookie stuffing, forced clicks, pop-ups, paid-to-click traffic, incentivized traffic or any other method that creates artificial clicks or referrals;
- offer cash back, rebates or discounts, or use coupon codes that we have not issued to you;
- promote us on websites or channels with unlawful, discriminatory, defamatory, violent, sexually explicit or rights-infringing content.
4.4 Prices and program details can change. If you mention them, you're responsible for keeping them up to date. Where possible, link to our pages instead of repeating prices.
5.1 We give you a limited, non-exclusive, non-transferable and revocable right to use our name, logo and the marketing materials we provide, only to promote us in the Program and only without changes.
5.2 All intellectual property rights in our name, logos, content and materials remain with us. You must stop using them when the Agreement ends or when we ask you to.
6.1 You earn a commission of 5% of the Net Sales Revenue from each Qualified Referral.
6.2 If a customer clicks the links of more than one affiliate, the commission goes to the affiliate whose link was clicked last within the Tracking Period.
6.3 We can only pay commission on purchases our system can track. If a customer blocks or deletes cookies, uses a different device or doesn't buy through your link, no commission is due.
6.4 If a customer pays in installments, commission is calculated on each installment we actually receive.
6.5 Agreements with companies, public authorities or other organizations that are negotiated directly with our team are not Qualified Referrals, unless we agree otherwise with you in writing.
6.6 We may change the commission rate by giving you at least 10 Business Days' notice by email. The new rate applies to Qualified Referrals made after the change takes effect. If you don't agree, you may end the Agreement under Clause 12.
7.1 Commissions are shown as pending in your Affiliate Dashboard. They become payable 30 days after we receive the customer's payment and once we have approved them.
7.2 If a purchase is refunded, canceled or charged back before the commission becomes payable, no commission is due. If this happens after we have paid you, we may deduct the amount from your future commissions or ask you to repay it.
7.3 We pay approved commissions once a month in Swiss francs (CHF) by bank transfer to the account in your affiliate profile. If your approved commissions are below CHF 50, they carry over to the following month.
7.4 Bank charges for transfers outside Switzerland may be deducted from the payout.
7.5 We may withhold commissions while we investigate suspected fraud or a breach of these Terms & Conditions.
8.1 All commission amounts are stated excluding VAT.
8.2 If you are registered for VAT, you must send us an invoice that meets the applicable VAT rules. We then pay the VAT shown on top of the commission.
8.3 You are responsible for declaring your commission income and paying any taxes and social security contributions due on it.
9.1 We process personal data in line with the Swiss Federal Act on Data Protection (FADP) and our Privacy Notice, which is available on our campus. To attribute referrals, our campus uses cookies and similar technologies on the devices of people who click your Affiliate Link.
9.2 When you promote us, you must comply with the data protection and marketing laws that apply to you, including the EU GDPR where relevant.
9.3 You may use any customer information shown in your Affiliate Dashboard only to manage your participation in the Program. You must keep it confidential and must not use it for your own marketing.
Both parties must keep confidential any non-public information they receive from the other in connection with the Program, including data in the Affiliate Dashboard and any terms agreed individually. This obligation continues for two years after the Agreement ends.
11.1 We provide the Program as it is. We don't guarantee any level of earnings or that tracking and the Affiliate Dashboard will always work without interruption.
11.2 To the extent permitted by law, we are not liable for indirect or consequential loss, including lost profit, and our total liability under this Agreement is limited to the commissions paid or payable to you in the 12 months before the event that caused the claim. This limitation does not apply to damage caused intentionally or through gross negligence.
11.3 You are liable for any breach of these Terms & Conditions and you will compensate us for any third-party claims, fines and reasonable costs that result from it.
12.1 The Agreement runs for an unlimited period from the date we approve your application.
12.2 Either party may end the Agreement at any time by giving 10 Business Days' notice by email.
12.3 We may end the Agreement with immediate effect if you breach Clause 4, act fraudulently or seriously breach these Terms & Conditions in any other way.
12.4 When the Agreement ends, you must remove all Affiliate Links and SCI materials. We will pay approved commissions for Qualified Referrals made before the end date once they become payable, except for commissions linked to fraud or to a breach of these Terms & Conditions.
We may change these Terms & Conditions by giving you at least 10 Business Days' notice by email. If you keep taking part in the Program after the changes take effect, you accept them. If you don't agree, you may end the Agreement under Clause 12.2.
Notices under this Agreement must be in writing and may be sent by email: to you at the email address in your affiliate profile, and to us at edu@swisscyberinstitute.com.
15.1 These Terms & Conditions are the entire agreement between you and us about the Program and replace any earlier agreements or understandings about it.
15.2 You may not transfer your rights or obligations under this Agreement without our prior written consent.
15.3 If any provision is invalid or unenforceable, the rest of these Terms & Conditions remains in force, and the invalid provision will be replaced by a valid one that comes as close as possible to its purpose.
15.4 If either party does not enforce a right immediately, this does not mean it waives that right.
16.1 This Agreement is governed by Swiss law, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
16.2 The courts at the registered office of Swiss Cyber Institute GmbH have exclusive jurisdiction over any dispute arising from or in connection with this Agreement.
